Terms of Service

These Terms of Service ("Terms") govern your use of Complyo, a Shopify application for EU AI Act and Cyber Resilience Act compliance scanning. By installing or using Complyo, you agree to these Terms.

1. Service Description

Complyo is a compliance scanning tool that:

• Analyzes your Shopify store for EU AI Act (Regulation 2024/1689) compliance issues
• Analyzes your store for Cyber Resilience Act (Regulation 2024/2847) compliance issues
• Provides a compliance risk score and grade
• Offers actionable fix suggestions for identified violations
• Generates PDF audit reports

2. Important Disclaimer

Complyo is not a substitute for legal advice. Our compliance scans are AI-powered assessments that identify potential issues based on publicly available regulation text. Complyo does not:

• Provide legal advice or legal opinions
• Guarantee regulatory compliance
• Represent or warrant that fixing identified issues makes your store fully compliant
• Replace the need for qualified legal counsel

You should consult a qualified legal professional for definitive compliance guidance. Complyo is a tool to help identify and prioritize potential compliance gaps.

3. Accounts and Access

To use Complyo, you must:

• Have an active Shopify store
• Install the app through the Shopify App Store or a direct install link
• Authorize the requested Shopify permissions

You are responsible for maintaining the security of your Shopify account. We are not liable for unauthorized access resulting from compromised Shopify credentials.

4. Plans and Pricing

Complyo offers three plans:

• Free — 1 scan per month, risk score, issue detection
• Pro ($29/month) — 8 scans, AI fix suggestions, email alerts, weekly auto-scan
• Business ($79/month) — 60 scans, auto-fix, PDF reports, up to 3 stores

Paid plans include a 7-day free trial. After the trial, you will be charged through your Shopify bill.

5. Billing

• All billing is handled through the Shopify Billing API
• Charges appear on your regular Shopify invoice
• Paid plans renew automatically every 30 days
• You can cancel at any time through the Shopify admin — no cancellation fees
• Refunds are handled per Shopify's standard refund policies

6. Scan Limits

• Each plan has a monthly scan limit that resets every 30 days
• Unused scans do not carry over to the next month
• Exceeding your plan's scan limit requires upgrading to a higher plan
• We reserve the right to impose rate limits to prevent abuse

7. Auto-Fix Feature

The auto-fix feature (Business plan) may modify your Shopify store data, including:

• Adding AI content labels to product descriptions
• Adding compliance metadata to products

Auto-fix actions require your explicit approval before execution. You can review proposed changes before they are applied. We are not responsible for unintended consequences of approved auto-fix actions.

8. Accuracy and Limitations

• Compliance scans are generated using AI (Google Gemini) and may contain inaccuracies
• Scan results reflect the state of your store at the time of scanning
• Regulations may be updated or reinterpreted — our scan rules are updated periodically but may not reflect the latest changes immediately
• Risk scores are relative assessments, not absolute compliance certifications
• We do not scan third-party apps, external scripts, or server-side configurations

9. Intellectual Property

• Complyo and its features are our intellectual property
• Your store data remains your property at all times
• Scan results and reports generated for your store are yours to use, share, and distribute
• You may not reverse-engineer, copy, or redistribute the Complyo application

10. Availability

We strive to maintain high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance when possible. We are not liable for losses resulting from service downtime.

11. Limitation of Liability

To the maximum extent permitted by law:

• Complyo is provided "as is" without warranties of any kind
• We are not liable for any fines, penalties, or enforcement actions resulting from reliance on Complyo's scan results
• Our total liability is limited to the amount you paid for the service in the preceding 12 months
• We are not liable for indirect, incidental, special, or consequential damages

12. Termination

• You can terminate by uninstalling the app from your Shopify store
• We may terminate or suspend your access for violation of these Terms, abuse, or non-payment
• Upon termination, your data is handled per our Privacy Policy

13. Governing Law

These Terms are governed by the laws of the European Union and the Netherlands. Disputes will be resolved in the courts of Amsterdam, Netherlands.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
